Appellant insurance company challenges the district court’s award of partial summary judgment holding it contractually liable to plaintiffs. We affirm in part, reverse in part, and remand.

FACTS

During a two-and-a-half year period in the 1980s, the plaintiffs in this action (the employees) purchased, through a multiple employer trust, group insurance contracts issued by Inter-American Delaware (IA-Delaware).
