On February 16, 1993, plaintiff Agriserve, Inc., filed suit in the circuit court of Macon County against defendant Robert W. Belden alleging that (1) plaintiff was a closely held corporation; (2) on June 2, 1982, defendant became a shareholder, director, officer, and employee of plaintiff; (3) on or about February 1,1991, defendant became an officer and director of a competing business; and (4) defendant’s relationship with the competing business constituted a breach of his fiduciary duty to plaintiff as a shareholder of a closely held corporation.
