INTRODUCTION
On March 13, 1996, plaintiff Ronald E. Athey (“Athey”) filed a complaint in the Delaware Superior Court alleging breach of his employment contract, wrongful termination, breach of implied contract, breach of implied covenant of good faith and fair dealing, promissory estoppel, and misrepresentation, all arising out of Hercules’ denial of certain benefits to Athey upon his retirement from Hercules.
