James M. Patton appeals from the judgment of the Circuit Court of Jefferson County in favor of Joseph Terry Estes and Cumberland Lake Country Club, Inc.1 ("Cumberland Lake"), on their claims seeking a judgment declaring (1) that the issuance of 500 shares of stock in Cumberland Golf Country Club ("Cumberland Golf") to Patton and to Frank W. Kelley were not properly issued and are void as a matter of law; and (2) that the only true members of Cumberland Lake are those who have paid all assessments and fees assessed by Cumberland Lake. We affirm.
