This matter came before the court for a hearing on May 19,19951 on defendants' Motion to Dismiss and their alternative Motion for Summary Judgment. Because matters outside the pleadings have been filed and considered, the Motion to Dismiss will be treated as a Motion for Summary Judgment pursuant to Rules 12 and 56 of the Fed. R. Civ. P. Under Fed. R. Civ.
