ORDER AND MEMORANDUM OPINION
GRAHAM, District Judge.
THIS CAUSE came before the Court upon Plaintiff/Counterdefendant Interstate Funding Corporation’s (“IFC”) and Counterdefendant Internal Revenue Service’s (“IRS”) Motions for Summary Judgment, (D.E. 6, D.E. 13). For the reasons stated in the memoran*438dum opinion below, the motion for summary judgment is granted in favor of IRS.
