MEMORANDUM OPINION AND ORDER

Before the Court are Defendant Prime Insurance Company’s (“Defendant” or “Prime”) Motion to Dismiss for Improper Venue, or in the Alternative, for Forum Non Conveniens (Doc. # 6) and Motion to Dismiss Amended Complaint (Doc. # 12). For the reasons set forth below, the Court *1335finds that the motions are due to be DENIED.
