Keystone Freight Corporation (Keystone) filed a complaint in Superior Court alleging that Bartlett Consolidated, Inc. (Bartlett), was liable for an abuse of process, deceit, negligent misrepresentation, and a violation of G. L. c. 93A. In response, Bartlett filed a motion to dismiss alleging that the claims were *305compulsory counterclaims that Keystone was required to plead in a prior collection action that Bartlett had brought against Keystone.
