This case involves, and turns upon, the question as to whether the Cleveland City Railway Company, formed by thle consolidation of two other companies, or the stockholders in one of the constituent companies, shall suffer the consequences of the fraudulent diversion and disposition of the part of the stock of the -new company that was allotted to the shareholders in the cable company, one of the two constituent companies.
