AINSWORTH, Circuit Judge:
This is a hard-fought contest between two giant corporations of the business and financial world, which involves application of the new tender offer provisions enacted in 1968 as amendments 1 to the Securities Exchange Act of 1934 (The Act) (15 U.S.C. § 78a et seq.). The principal question for decision is whether the tender offeror violated the disclosure and anti-fraud provisions of the Act, and regulations thereunder, 'in connection with the making and consummation of a successful tender offer.
