This controversy arises out of the efforts of Michael M. Barsamian, president of Lord’s & Lady’s Enterprises, Inc. (L&L), to create a mail-order catalogue through which professional hair-care products, including those of John Paul Mitchell Systems (JPMS), could be sold. Believing that he had the approval of JPMS to include its products in the catalogue, Barsamian published the catalogue and conducted a *263test mailing.
