OPINION1

MARY F. WALRATH, Bankruptcy Judge.

Before the Court is the Motion of Meridian Automotive Systems, Inc. (“Meridian”) to Compel Compliance with the Terms of the Critical Vendor Orders by which Meridian seeks an order compelling Plastech Engineered Products, Inc. (“Plastech”) to *714disgorge $1.25 million which it received under the Critical Vendor Orders. Plas-tech opposes the Motion. For the reasons stated below and in the accompanying Findings of Fact, the Court will grant the Motion.
