Prom Wells Circuit Court; Charles E. Sturgis, Judge. Action by the National Equipment and Supply Company against The Montpelier Light and Water Company. The Citizens Trust Company, by permission, became a party defendant and filed a cross-complaint against the plaintiff and defendant and others. Prom an adverse judgment, cross-complainant appeals.

Prom the facts specially found by the court, it appears that prior to January 1,1901, appellee Montpelier Light and Water Company, a corporation, was organized to operate a system of water-works and electric lighting for the city of Montpelier. On January 1, 1901, it executed to appellant a trust deed for all its real and personal property, franchises, after-acquired property and income, to secure the payment of first-mortgage bonds of even date, in the aggregate amount of $38,000, together with interest coupons, payable semiannually.
