TATEL, Circuit Judge:

This case arises out of a settlement agreement concerning Trans World Airlines’ employee pension plans. Agreed to over a decade ago by TWA, TWA’s employees, the financier Carl Icahn, and the Pension Benefit Guaranty Corporation (PBGC), the agreement required the PBGC to terminate the plans if certain defined “Significant Events” were to occur. Eight years later, when one of the “Significant Events” occurred, the PBGC terminated the plans, and now a group of pilots sue the PBGC, claiming that termination, even if mandated…
