I. Introduction

Bernard M. Eisen (“Plaintiff’), a citizen and resident of New York, filed this action on June 8, 2016, claiming violations of both the Securities Act of 1933 (“the ’33 Act”) and the Securities Act of 1934 (“the ’34 Act”), and related state-law claims of un-conscionability, fraud, civil conspiracy, and intentional infliction of emotional distress.
