delivering the opinion of the court:

The plaintiff and intervening plaintiffs in the Court of Chancery are owners of shares of common stock of the defendant corporation. The suit brings in question the validity of two attempted stockholders’ meetings for the election of directors of the defendant. We find it unnecessary to consider all of the questions argued, and have decided only those discussed in this opinion.
