HENDERSON, Circuit Judge:

This action arises out of a contract between Southern California Edison Company (SCE) and the City of Corona, California (Corona) under which SCE agreed to install interconnection facilities to provide electrical interconnection service to Corona. Under the parties’ Interconnection Facilities Agreement (Facilities Agreement or Agreement), Corona paid SCE in advance the estimated cost of installing the interconnection facilities and SCE agreed to furnish Corona with a final trued-up invoice for the actual installation cost within twelve months after the facilities’…
