BROWN, Circuit Judge:

Full Value Advisors, L.L.C. (Full Value or the Fund) is an institutional investment manager, as defined by the Securities and Exchange Act of 1934 (the Act), see 15 U.S.C. § 78m(f), subject to the disclosure requirements of section 13(f) of the Act, 1 which applies to institutional investment managers holding at least $100,000,000 in securities. 2 See id. § 78m(f)(1).
