Appeal from a judgment of the superior court for Spokane county, Hon. Frank H. Rudkin, judge pro tempore, entered February 3, 1916, upon findings in favor of the defendant, dismissing an action to recover under a stock subscription contract.

Thomas J. Ennis was one of the promoters and incorporators, and a member of the directorate, of the Roman Catholic Life Insurance Company of America, the name of which was afterwards changed to the New World Life Insurance Company. Ennis, claiming under a subscription to corporate stock made in the name of E. J. Cannon, as trustee, began an action to recover the difference between his subscription price of the stock and its market value on October 7, 1913, the date on 'which the subscription was repudiated by the corporation.
