Plaintiff Janet Chang, a 25% holder of the common stock of 207 Second Avenue Realty Corp., commenced this stockholder’s derivative action against defendants Wilson Chang and Ruby Chang, shareholders, directors and officers in charge of the corporation’s affairs, and Thomas Cartelli, who acted as 207’s attorney since 1979, when it was first incorporated.
