BLACK, Circuit Judge:
The present case arises out of the termination of health insurance policies held by James D. Massey and Robert A. Massey for failure to pay the premiums prior to the due date or expiration of the grace period. The insurance policies at issue were underwritten by Congress Life Insurance Company (Congress) and administered by Insurers Administrative Corporation (IAC). After termination of the policies, the Masseys sued Congress and IAC for breach of contract, fraud, bad faith, outrage, and negligence in the United States District Court for the Northern District of Alabama.…
