OPINION AND ORDER
SCHEINDLIN, District Judge.
Plaintiff William Aramony (“Aramony”) moves to dismiss the counterclaim served an January 15, 1997 by defendant United Way of America (“UWA”). 1 UWA moves for the return of privileged documents produced to Aramony. For the reasons set forth below, Aramony’s motion is granted in part and denied in part and UWA’s motion is granted.
