This litigation grows out of the following agreement:

“Memorandum of agreement, made this 26th day of October, 1904, by and between W. S. Robertson, of the first.part, and S. S. Elam, of the second part.
“The said W. S. Robertson, party of the first part, in consideration of one dollar to them, in hand paid by said S. S. Elam, party of the second part, at and before the execution of this contract, the receipt of which is hereby acknowledged, do hereby covenant, contract and agree to sell to 'the said S. S.
