The City Equitable Fire Insurance Company, Limited, is an English corporation. In February, 1922, it was in financial difficulties. Accordingly, proceedings to wind up its affairs were instituted in England under the “ Companies Act,” and an official liquidator was appointed who is still engaged in the performance of his duty. The corporation was not thereby dissolved but the liquidator took possession of its assets in trust for the benefit of the persons interested. The orders and decrees of the foreign court have no force or effect in New York. There is no transfer by reason of such action…
