Plaintiffs Prettner and Weidemueller, shareholders of American Airlines, Inc., a Delaware corporation, (“American”) and DePrey and Bailey, shareholders of Western Air Lines, Inc., a Delaware corporation, (“Western”) brought this action against American, Western and the members of their respective boards of directors.
