MEMORANDUM AND ORDER INCLUDING FINDINGS OF FACT AND CONCLUSIONS OF LAW

This lawsuit arises out of alleged violations of the “truth-in-proxy” provisions of the Securities and Exchange Act of 1934 and the administrative regulations thereunder governing the solicitation of corporate proxies. 15 U.S.C. § 78n(a); 17 CFR § 240.-14a-9. Certain pendent claims premised upon Pennsylvania corporation law have also been alleged. For the reasons that follow, judgment will be entered as to all claims in favor of defendants.
