MEMORANDUM OF DECISION AND ORDER

The plaintiff in this case, Joseph Salomon, seeks summary judgment against the defendant Sal Malguarnera to recover on Malguarnera’s guarantee of a $500,000 loan that Salomon made to the defendant Burr Manor Estates, Inc. (“Burr Manor”). The plaintiff also seeks summary judgment dismissing the defendant Malguarnera’s counterclaim against Salomon for aiding and abetting two officers of Burr Manor in breaching their fiduciary duties to the corporation.
