In the month of June, 1896 (on exactly what day in that month does not appear), a petition was presented by a majority of the directors of the corporation for a voluntary dissolution. Subsequent to the filing of such petition, and on the 9th day of June, 1896, the corporation made a general assignment for the benefit of creditors to the appellant.
