MEMORANDUM OPINION
TURK, Chief Judge.
Plaintiffs, partners in a general partnership, sued defendants alleging violations of the Securities Acts. The statutes allegedly violated include § 12(2) of the Securities Act of 1933 (15 U.S.C. § 111 (2)), and § 10(b) of the Securities Exchange Act of 1934 (15 U.S.C. § 78j(b)) and Rule 10b-5 promulgated pursuant thereto. Plaintiffs allege jurisdiction over this action pursuant to § 22 of the Securities Act of 1933 (15 U.S.C. § 77v(a)), § 27 of the Securities Exchange Act of 1934 (15 U.S.C. § 78aa) and Rule 10b-5. There is no diversity of citizenship.…
