The facts of what occurred are basically not disputed and are set forth in previous opinions of this Court. 1 Kevin Martin was a director, shareholder and president of Os-trom-Martin, Inc. (OMI), a grain company with several facilities in neighboring communities. Kevin Martin and other members of his extended family, were involved in several related entities. The related entities involved with this litigation are summarized below. 2
