MEMORANDUM OPINION

ROSEMARY M. COLLYER, District Judge.

This matter is before the Court on Defendants’ motion to dismiss or, in the alternative, for summary judgment. For the reasons discussed below, the motion will be granted.

I. BACKGROUND
