OPINION
FEDERICI, Chief Justice.
The opinion of this Court heretofore f'^d on August 14, 1985 is withdrawn and the following opinion is substituted therefor.
Plaintiff-appellee, B. L. Goldberg & Associates, Inc. (Goldberg), brought suit in the District Court of Bernalillo County for money owed on an open account. Defendant-appellant, Uptown, Inc. (Uptown), filed a counterclaim sounding in breach of contract, fraud, and misrepresentation. The trial court dismissed the counterclaim by summary judgment prior to trial.
