HEDGES, Justice.

We withdraw our earlier opinion, we substitute the following opinion in its stead, and we overrule appellants’ motion for rehearing.

A failed real estate transaction gave rise to this suit for fraud, conspiracy to defraud, and breach of contract. Defendants Bayou Terrace Investment Corporation (BTIC) and Vernon Paul Lyles (Paul Lyles) appeal a $1,060,000 judgment in favor of plaintiffs, Jack W. Lyles (Jack Lyles) and June Lyles.
