Maritz Holdings Inc. (“Maritz”) appeals the trial court’s judgment granting summary judgment in favor of Federal Insurance Company (“Federal”). We reverse and remand for further proceedings.

I. BACKGROUND

This litigation arises from a dispute over the scope of coverage afforded by a director’s and officer’s (D & 0) liability insurance policy issued by Federal to Mar-itz. Maritz has obtained D & 0 insurance policies from Federal since 1985.
