Plaintiff Institute for Shipboard Education (“ISE”) has moved, pursuant to Rule 56, Fed.R.Civ.P., for summary judgment in the above-captioned action. Defendant Cigna Worldwide Insurance (“Cigna”) has cross-moved for summary judgment. For the reasons that follow, plaintiff s motion is granted and defendant’s cross-motion is denied.

BACKGROUND

This action arises from a dispute between two insurers concerning the extent to which each had a contractual duty to indemnify and defend in connection with an underlying negligence action which has now been settled.
