MEMORANDUM OPINION AND ORDER

ASPEN, District Judge:

Plaintiffs1 brought this action on behalf of themselves and other similarly situated shareholders of Trans Union Corporation (“Trans Union”) who held common stock between September 19, 1980, and February 10, 1981, when Trans Union merged with New T Company, a wholly-owned subsidiary of G. L. Corporation which, in turn, is owned and controlled by the Pritzker family of Chicago through a series of trusts held by the Canadian Imperial Bank of Commerce Trust Company (Bahamas), Limited, as trustee.
