This is an action for alleged violation of the antitrust laws, arising out of a franchise agreement between plaintiffs and defendant, The Plum Tree, Inc. (“Plum Tree”). Defendants have moved to dismiss plaintiffs’ second amended complaint (“the complaint”) for lack of subject matter jurisdiction, failure to state a claim upon which relief can be granted, and failure to assert these claims as a mandatory counterclaim to Plum Tree, Inc. v.
