POOLER, Circuit Judge:
Patricia Yak, an attorney, entered into a consulting agreement with BBL (USA) Holdings, Inc. (“BBL”) in October 1997. That agreement specified Yak would work as an independent contractor, and as an independent contractor, she would not be “entitled to any employee benefits.” The consulting agreement was renewed in April 1998, and amended in September 1998 (collectively, the “Consulting Agreements”).
