SEYBERT, District Judge:

Before the Court on diversity jurisdiction is a dispute arising out of an assignment of certain technical information and trademarks. Plaintiffs, G. Golden Associates of Oceanside, Inc. (“Golden Associates”) and Gerald Golden, the sole shareholder of Golden Associates, allege that defendant, Arnold Foods Company, Inc. (“Arnold”), breached, improperly terminated and tortiously interfered with an agreement, dated August 1, 1983 (the “Agreement”), between plaintiffs and Devonsheer Melba Corporation (“De-vonsheer”), defendant’s predecessor-in-interest.…
