MEMORANDUM OPINION AND ORDER

DECKER, District Judge.

The Illinois Department of Commerce and Community Affairs (DCCA), its director, Michael T. Woelffer (Woelffer), and a private advertising agency, Zechman & Associates, Advertising, Inc. (Zechman) 1 , brought this declaratory judgment action against Happy States of America, Inc. (Happy States), a Virginia corporation.
