Plaintiff Earle C. Roberts (“Roberts”) brought this action against defendants Petersen Investments and Peter Alcure (collectively “Petersen”). The complaint alleges that Petersen violated Section 5 of the Securities Act of 1933, 14. U.S.C. Section 77e, Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. Section 78j(b), 17 C.F.R.
