{¶ 1} On August 5, 1999, HER, Inc. (“HER”), on behalf of Stonebridge Corporation, refiled a complaint in the Franklin County Court of Common Pleas against Thomas K. Parenteau 1 and Parenteau Builders, Inc. (“Parenteau Builders”). HER brought the complaint as a shareholder derivative action for damages allegedly incurred by Stonebridge Corporation. The complaint set forth claims against Mr. Parenteau of unlawful conflicts of interest, breach of fiduciary duty, breach of the duty of reasonable care, and breach of the duty to act in the best interest of the corporation.
