Eldred, District Judge.

The plaintiff, appellee, the holder of preferred stock in the defendant corporation, brought this action to recover *359from the defendant the par value of 88 shares of preferred stock of the Cushman Motor Works, with accrued dividends at 7 per cent, per annum from May 1, 1921, under the provisions of article YII of its amended articles of incorporation, providing: “The corporation when requested so to do, in writing, at least ninety days before the end of any fiscal year,.by the holder or holders of preferred stock, shall, at par with accrued dividends, within thirty days…
