OPINION
FARNAN, District Judge.
Presently before the Court is Defendant’s Motion to Dismiss the Amended Complaint (D.I. 26). Because the Court finds that it lacks personal jurisdiction over Hershey Canada, Inc., the motion will be granted.
BACKGROUND
On March 9, 2007, Plaintiff, Solae LLC (“Solae”) filed its original complaint (D.I. 1) in this declaratory judgment and breach of contract action against Hershey Canada, Inc. (“Hershey Canada”).
