MEMORANDUM OF DECISION

HOLDEN, Chief Judge.

This case involves alleged violations of federal and state securities statutes arising out of the sale of limited partnership interests in a real estate venture. Plaintiffs Henry E. Bartels (Bartels), Theodore Rosen (Rosen) and Ugo Quazzo (Quazzo) bring this action against defendants Algonquin Properties, Ltd. (Algonquin), Trask and Waite Realtors, Inc.
