ORDER GRANTING IN PART AND DENYING IN PART MOTIONS TO DISMISS
LENARD, District Judge.
THIS CAUSE is before the Court on two motions to dismiss the Amended Complaint, filed by (1) Defendants Omega Research, Inc., William R. Cruz, and Ralph L. Cruz (“Omega Defendants”), on August 18, 1998; and (2) Defendants BancBoston Robertson Stephens, Lehman Brothers, and Hambrecht & Quist (“Underwriters”), on July 1, 1998.
