MEMORANDUM OPINION

JOSEPH L. COSETTI, Bankruptcy Judge.

This matter comes before the court by the court’s own rule to show cause why this court should not vacate, as improvident, pursuant to 11 U.S.C. § 328(a), all orders of court hiring professional persons, to the extent that such orders provide for indemnification of such professional persons. After carefully weighing the equities, the court, albeit reluctantly, will not vacate the indemnification provisions; how ever, such provisions are modified as set forth below.
