MEMORANDUM AND ORDER

LUNGSTRUM, District Judge.

I. Introduction

This ease involves a breach of contract claim arising out of three letter agreements for the sale of natural gas between plaintiff Kansas Municipal Gas Agency (“KMGA”) and defendant Vesta Energy Company (“Vesta”). Vesta has also asserted a fraud claim against third-party defendant Gastrak Corporation (“Gastrak”).
