Presently before the Court are plaintiff’s motion for summary judgment pursuant to Rule 56 of the Federal Rules of Civil Procedure and motion to dismiss defendant’s answer and counterclaims contained therein.

This is a breach of contract action. Jurisdiction is invoked pursuant to 28 U.S.C. § 1332. On August 5, 1983, plaintiff National Westminster Bank USA (“NatWest”) entered into a series of agreements with RPC Corporation (“RPC”) pursuant to which NatWest agreed to lend up to $4,000,000 to RPC secured by liens on all of its assets.
