This case arises from a dispute concerning the validity of a merger of the Madison County Realtors Association, Inc., (“defendant Association”) with the Asheville Board of Realtors. The facts occurred as follows.

Plaintiff, who had been a member of defendant Association for approximately ten years, was appointed to a special committee charged with the negotiation of the proposed merger of defendant Association with the Asheville Board of Realtors.
